Guinea Insurance Plc has completed its recapitalisation programme following a combination of a rights issue and private placement, strengthening its capital position under Nigeria’s new insurance industry requirements.
The insurer disclosed the development in a regulatory statement dated August 14, 2026, saying it has met the applicable minimum capital requirement for non-life insurance companies under the Nigerian Insurance Industry Reform Act 2025.
The completion places Guinea Insurance among insurers that have satisfied the recapitalisation requirement being implemented across Nigeria’s insurance industry.
The company said the National Insurance Commission has included its name among insurance companies that have achieved the required capital threshold.
Guinea Insurance did not disclose in the announcement how much it raised through the rights issue and private placement or its resulting capital position.
However, the company said the fundraising has strengthened its financial capacity and provided a stronger foundation for expanding its operations in Nigeria’s insurance market.
The recapitalisation comes as insurance companies adjust their balance sheets to comply with higher capital requirements introduced under the industry’s new regulatory framework.
For Guinea Insurance, completing the exercise removes a major regulatory hurdle while giving management additional capacity to pursue new underwriting opportunities.
The company said it remains fully operational following the capital raise and continues to provide insurance coverage to individuals and businesses.
It also reaffirmed its commitment to meeting legitimate claims and other contractual obligations to policyholders.
Managing Director and Chief Executive Officer Ademola Abidogun said the completion of the recapitalisation leaves the insurer positioned to enter its next phase with greater financial capacity.
The company expects the strengthened balance sheet to support its ability to underwrite risks, serve corporate and retail customers and pursue sustainable growth opportunities.
Guinea Insurance is authorised and regulated by NAICOM and operates primarily in Nigeria’s non-life insurance market.
The successful capital raise adds the company to the growing number of Nigerian insurers completing recapitalisation as the industry adjusts to the requirements of the Nigerian Insurance Industry Reform Act.
