FCMB Group Plc has notified investors that the publication of its nine-month unaudited financial statements for 2026 could be delayed by as much as 60 days as an interim audit gets underway at First City Monument Bank Limited, its largest subsidiary.
The financial services group had been expected to publish its results for the nine months ending September 30, 2026, by October 30, in line with the applicable reporting timeline.
However, FCMB Group said the results could now be released on or before December 29, potentially extending the reporting period by approximately two months.
The company disclosed the development in a notice to the Nigerian Exchange Limited and the investing public dated September 24, 2026.
FCMB attributed the possible delay to the commencement of an interim audit of First City Monument Bank for the period ending September 30.
The banking subsidiary represents a significant component of FCMB Group’s operations, meaning its financial performance feeds directly into the parent company’s consolidated financial statements.
FCMB said the subsidiary’s results would have a material impact on the Group’s consolidated accounts, making completion of the audit important before the nine-month numbers are published.
The statement does not indicate that the interim audit has uncovered an accounting problem or adverse financial development.
It also does not disclose any regulatory investigation, disagreement with auditors or restatement of previous financial statements.
Rather, FCMB linked the extended reporting timetable specifically to the ongoing audit process at its largest subsidiary.
The distinction is important for investors because the reference to a “material impact” relates to the significance of First City Monument Bank’s financial results to the consolidated Group accounts and should not, without further disclosure, be interpreted as evidence of a material adverse finding.
The October 30 deadline would ordinarily give shareholders an opportunity to assess FCMB Group’s performance during the first nine months of the year shortly after the end of the third quarter.
If publication moves to December 29, investors could instead wait until close to the end of the year before receiving the Group’s Q3 financial update.
The potential delay could temporarily reduce the amount of current financial information available to shareholders assessing the Group’s earnings, balance sheet, capital position and operating performance.
FCMB Group operates a diversified financial services business, with First City Monument Bank serving as its principal banking subsidiary.
The Group’s other operations span investment banking, asset and wealth management and related financial services.
Because the commercial bank accounts for a substantial part of the Group’s business, its financial statements are central to preparing the consolidated accounts presented to shareholders.
FCMB’s notification comes at a period when Nigerian banks remain under increased investor scrutiny over earnings, capital positions and compliance with the Central Bank of Nigeria’s recapitalisation requirements.
However, FCMB’s September 24 disclosure does not attribute the interim audit or potential reporting delay to the recapitalisation programme.
Any connection between the two would therefore be speculative without additional information from the company.
FCMB has also not indicated whether the December 29 date represents the expected publication date or an outside deadline.
Its disclosure states that the consolidated third-quarter results will be published “on or before” December 29, leaving open the possibility that the accounts could be released earlier once the interim audit is completed.
For investors, attention will now turn to the completion of the audit and any subsequent update from FCMB Group on when its nine-month financial statements will be released.
Until then, October 30 remains the original reporting due date, while December 29 represents the latest publication date communicated by the company.
