Shareholders of Northern Nigeria Flour Mills Plc (NNFM) have ratified the appointments of three directors and re-elected three others to the company’s board following resolutions passed at its 54th Annual General Meeting.
The company disclosed the resolutions in a regulatory filing dated September 16, 2026, following the AGM held in Kano on September 14.
Shareholders ratified the appointments of Devlin Hainsworth, Nassib Raffoul and Batulu Mohammed Koguna, who were appointed to the board after the company’s previous Annual General Meeting.
The meeting also approved the re-election of John Coumantaros, Rabi’u Mohammed Gwarzo and Joseph Umolu, who retired by rotation and offered themselves for another term.
Coumantaros is a prominent figure within the Flour Mills of Nigeria group, while Gwarzo and Umolu will continue serving on the NNFM board following shareholders’ approval.
As part of other resolutions passed at the meeting, shareholders received the company’s audited financial statements for the year ended March 31, 2026, together with reports from the directors, external auditors and audit committee.
The company’s directors were also authorised to determine the remuneration of its external auditors.
NNFM shareholders re-elected Bello Umar Gwangwazo, Lawan Sule Garo and Sadiq A. Othman as their representatives on the Statutory Audit Committee until the conclusion of the next Annual General Meeting.
Sani Umar and Auwalu Muktari were nominated to represent the board on the committee.
The resolutions consolidate the composition of Northern Nigeria Flour Mills’ board and key governance committees for the new corporate year following the conclusion of its 54th AGM.
